It goes without saying that shareholders should vote out all the current directors at the first opportunity. They raise serious questions about their fiduciary duties and the possibility of SEC actions in the future. There is also the matter of share performance which can suffer because of adverse publicity.
Donald Link, agreed on all points…the problem I see is that financial institutions, which almost by definition have become part of the controlling oligarchy of this culture, are the biggest Twitter shareholders, along with Musk and, as was revealed this week, the Kingdom of Saudi Arabia. (That one is most interesting, isn’t it?)
But your point about the Directors’ fiduciary duties is the one that came to my mind as soon as I read about the “poison pill.” I have to be careful here, as I have no direct experience in shareholder litigation, only the experience of learning about it in school and then, over the years, reading with some interest the occasional item in legal news sources about such cases. That disclaimer out of the way, my recollection is that the adoption of a poison pill resolution in the wake of a hostile takeover proposal is, at the very least, an invitation for a shareholder derivative suit against the Board. Some legal commentators view it as a move of desperation that all but creates a rebuttable presumption of fiduciary duty violation, since the Board appears to be acting in its own interest, not that of the shareholders at large. Attorneys who are experienced in shareholder derivative cases are, I am sure, not only salivating over this one, but likely have begun drawing up their lawsuits and activating their advertising networks to solicit clients. (I didn’t really say that…of course lawyers don’t solicit clients, that would be unethical…/sarc off.)
